Quote Validity

Quotes for non-precious metal targets are valid for 30 calendar days from the date of issue. Quotes for precious metal targets are valid for 1 business day due to market price volatility.

All deposition materials supplied by AJA International are manufactured on a best effort basis, meaning every reasonable step is taken to meet specified composition, dimensions, and quality requirements; however, due to the inherent difficulty of fabricating certain materials, minor visual imperfections may be present and do not indicate performance issues. To ensure optimal results, materials should be installed and used as quickly as possible upon receipt, as extended storage of certain materials may adversely affect their properties.

Delivery

Availability for shipment is indicated in the material description above. If multiple items with different lead times are ordered, the order will ship based on the latest lead time unless the purchaser requests partial shipments at the time of order. Items marked as “Stock” typically ship from our facility within 1–3 business days. 

Payment Terms

Payment terms are subject to AJA’s approval and may vary based on customer

creditworthiness, order value, and material type. Where approved, standard terms for existing AJA customers, accredited colleges and universities, and recognized government agencies are Net 30 Days from the shipment date.

Orders for certain materials, including precious metals, may require full or partial prepayment regardless of customer type. Late payments are subject to interest at the rate of one percent (1%) per month, equivalent to twelve percent (12%) per annum, calculated on a simple (non-compounding) interest basis, or the maximum rate allowed by law, whichever is lower. Interest shall accrue from the original due date until payment in full is received.

Taxes and Duties

Any applicable tariffs, duties, taxes, or other import-related charges applicable at the time of shipment are the sole responsibility of the customer, and are not included in the quoted pricing unless otherwise specified.

Freight and Insurance

Unless otherwise specified in the quotation above, domestic shipments are made FOB Origin, and international shipments are made EXW (Incoterms® 2020). 

Warranty

Consumables are supplied on a non-warranty, non-returnable basis, unless otherwise agreed in writing. Any claims for shortages or defects must be reported within 5 business days of receipt. 

Cancellation

All orders are "no cancel/no return", unless otherwise agreed to in writing by AJA. If AJA agrees in writing to the cancellation of an order, AJA shall be entitled to payment for work in progress and raw materials then on order, plus a reasonable amount of profit, not to exceed 25%.

Limitation of Liability

Supplier is not liable for any lost profits, special, incidental, indirect or consequential damages (or other damages of these types), whether or not arising out of or in connection with the agreement or any breach thereof and whether or not foreseeable at the time of entering into this agreement. In no event will Supplier's total aggregate liability to Buyer or any other party with respect to the agreement, the products, and/or any breach exceed the amount of money paid by Buyer to Supplier in connection with the order under which such liability arises. This limitation shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and shall survive termination of the agreement.

Force Majeure

AJA shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, strikes, government actions, labor shortages, supply chain disruptions, or acts of war. AJA’s time for performance shall be extended for a period equal to the duration of the force majeure event.

Governing Law; Forum

The Agreement, and Supplier and Buyer's respective rights, obligations, liabilities and responsibilities, will be governed by and interpreted in accordance with the substantive laws of The Commonwealth of Massachusetts, United States of America. Exclusive jurisdiction and venue shall reside in the state and federal courts located in Massachusetts.

Terms
In the event of conflicting terms or specifications, the above terms, conditions and system specifications supersede all previous terms, conditions and specifications as supplied by customer or AJA International, Inc. and any contract will be based on AJA terms, conditions and specifications.
